Item 7.01. Regulation FD Disclosure.

On October 30, 2006, the Board of Directors of our company passed a resolution to reduce the exercise price of a total of 14,950,000 outstanding stock options granted to the directors, employees and consultants of our company to $0.022 per share. The change to the exercise price for the stock options did not affect other terms and conditions of the outstanding stock options.
