Item 8.01 Other Events.
On November 19, 2015, Halcón Resources Corporation (the “Company”) issued a press release announcing the commencement of an exchange offer to certain eligible holders of its 9.75% Senior Notes due 2020, 8.875% Senior Notes due 2021 and 9.25% Senior Notes due 2022 for up to $150 million of a new issue of 12.0% Senior Secured Notes due 2022 (the “New Notes”).
The New Notes have not been and will not be registered under the Securities Act of 1933 (the “Securities Act”) or applicable state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws.
