Item 5.03.    Amendments to Articles of Incorporation or Bylaws; Changes in Fiscal Year.
 
On July 30, 2007, Capital Lease Funding, Inc. (the “Company”) amended its Articles of Incorporation and Bylaws solely to change the corporate name from “Capital Lease Funding, Inc.” to “CapLease, Inc.” A copy of the Company’s Articles of Amendment, as filed with the Maryland State Department of Assessments and Taxation, and the Company’s First Amendment to Bylaws, are attached hereto as Exhibits 3.1 and 3.2, respectively, and are incorporated herein by reference.
