Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On December 12, 2007, Lewis S. Ranieri retired as Chairman of the Board of Directors of CapLease, Inc. and a member of the Investment Oversight Committee of the Board of Directors of CapLease, Inc. Mr. Ranieri’s decision to retire does not reflect any disagreement with the Board or CapLease’s management.
 
Effective December 12, 2007, the Board of Directors of CapLease, Inc. elected Paul H. McDowell Chairman of the Board of Directors. Mr. McDowell will continue in his role as CapLease’s Chief Executive Officer.
