Item 2.02              Results of Operations and Financial Condition.
 
On April 24, 2009, CapLease, Inc. (the “Company”) issued a press release disclosing the estimated impact of two asset sale transactions on the Company’s results of operations for the Company’s quarterly fiscal period ended March 31, 2009.  A copy of the press release is furnished as Exhibit 99.1 hereto.
