Draft S-4 Registration Statement (Draft Proxy Statement) on NYSE-ARCHIPELAGO

Proposed Merger Filed with Securities and Exchange Commission

 

New York and Chicago July 21—The NYSE Group, Inc. today filed a draft Registration Statement on Form S-4, containing a preliminary joint proxy statement/prospectus on the proposed NYSE-Archipelago Holdings (PCX: AX) merger, with the Securities and Exchange Commission. NYSE Members and Archipelago stockholders are expected to receive the final proxy statement and vote on the transaction later this year. Important Acquisition Information with Respect to the Merger

 

In connection with the proposed merger of the New York Stock Exchange, Inc. (“NYSE”) and Archipelago Holdings, Inc. (“Archipelago”), NYSE Group, Inc. filed a registration statement on Form S-4 with the Securities and Exchange Commission (“SEC”) on July 21, 2005, containing a preliminary joint Proxy statement/prospectus regarding the proposed transaction. The Registration Statement has not yet become effective. The parties will file other relevant documents concerning the proposed transaction with the SEC.
