Item 8.01. Other Events.

On June 5, 2006, Spansion Inc. announced that its wholly owned operating company subsidiary, Spansion LLC, intends to commence a private placement to qualified institutional buyers of $240 million in aggregate principal amount of Spansion LLC’s exchangeable senior subordinated debentures due 2016 to be issued pursuant to Rule 144A under the Securities Act of 1933, as amended. For additional information concerning this private placement, refer to Exhibit 99.1 contained in this Current Report on Form 8-K.
