The Registrant hereby amends this Registration Statement on such date or dates as may be necessary to delay its effective date until the Registrant shall file a further amendment which specifically states that this Registration Statement shall thereafter become effective in accordance with Section 8(a) of the Securities Act of 1933 or until the Registration Statement shall become effective on such date as the Commission, acting pursuant to Section 8(a), may determine.
DEREGISTRATION OF SECURITIES
On May 20, 2005, Matrix Service Company (the Company) filed a registration statement on Form S-3 (No. 333-125107) (the Registration Statement) for purposes of registering for resale a total of up to 6,668,449 shares of the Companys common stock, par value $0.01 per share (the Common Stock), issuable upon conversion of convertible notes sold in a private placement on April 22, 2005. On June 10, 2005, the Company filed an amendment to the Registration Statement and, on June 17, 2005, the Securities and Exchange Commission declared the Registration Statement effective. Pursuant to the terms of the Registration Rights Agreement that required the Company to file the Registration Statement, the Company is no longer required to keep the Registration Statement effective. Accordingly, this Post-Effective Amendment No. 1 to the Registration Statement is being filed to formally deregister, as of the date hereof, all of the shares of common stock that remain unsold under the Registration Statement as of the date hereof.
