On August 9, 2010, Orange and Rockland Utilities, Inc. (O&R), a wholly-owned subsidiary of Consolidated Edison, Inc. (Con Edison), entered into a purchase agreement (the Purchase Agreement) with Citigroup Global Markets Inc., for the sale of $55 million aggregate principal amount of O&Rs 2.50% Debentures, Series 2010 A (the Series 2010 A Debentures) and $115 million aggregate principal amount of O&Rs 5.50% Debentures, Series 2010 B (the Series 2010 B Debentures, and together with the Series 2010 A Debentures, the Debentures). Pursuant to the Purchase Agreement, the Debentures, which were not registered under the Securities Act of 1933, as amended (the Securities Act), may not be offered or sold except to qualified institutional buyers in reliance on Rule 144A under the Securities Act.
The Series 2010 A Debentures will bear interest at 2.50% per annum. The Series 2010 B Debentures will bear interest at 5.50% per annum. The Series 2010 A Debentures will mature on August 15, 2015. The Series 2010 B Debentures will mature on August 15, 2040. O&R may redeem the Debentures prior to maturity at a make-whole premium. The Debentures rank pari passu with O&Rs other unsecured indebtedness. The Debentures are being issued under the Indenture, dated as of June 15, 2000, between the Company and The Bank of New York Mellon (successor to JPMorgan Chase Bank, N.A., formerly known as JPMorgan Chase Bank, formerly known as The Chase Manhattan Bank), as Trustee, as amended and supplemented by a First Supplemental Indenture, dated as of October 6, 2006 (the Indenture). Con Edison will furnish a copy of the Indenture, and the debt securities issued pursuant thereto, to the Securities and Exchange Commission upon request. The Indenture includes customary events of default. Under the Indenture, the Trustee or the holders of 25% or more in aggregate principal amount of a series of debt securities issued under the Indenture at the time outstanding may declare the principal of all the debt securities of such series to be due and payable immediately, if any event of default with respect to such series of debt securities shall occur and be continuing.
