Item 8.01. Other Events.
On October 28, 2010, Spansion Inc. (the “Company”) announced that Spansion LLC, the Company’s wholly owned operating company subsidiary, intends to conduct a private offering of $200 million aggregate principal amount of senior notes due 2017 to qualified institutional buyers pursuant to Rule 144A and in offshore transactions pursuant to Regulation S under the Securities Act of 1933, as amended. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
