Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 1, 2012, IMAX Corporation (the Company) entered into an amendment to the employment agreement with Joseph Sparacio, the Companys Chief Financial Officer, pursuant to which the term of Mr. Sparacios employment was extended until May 14, 2014. Prior to the amendment, Mr. Sparacios employment agreement was to terminate on May 14, 2012. The amendment provides for an annual base salary of $425,000, effective May 14, 2012 and an annual base salary of $450,000, effective May 14, 2013. The agreement further provides that in the event Mr. Sparacios employment is terminated without cause, any vested stock options granted to Mr. Sparacio under the Stock Option Plan will remain available for exercise for a period of six (6) months following the date of such termination. All other terms of Mr. Sparacios employment agreement remain in full force and effect.
