On May 6, 2014, The Boeing Company (the “Company”) and W. James McNerney, Jr. entered into an amendment (the “Amendment”) to the Amended and Restated Employment Agreement between the Company and Mr. McNerney dated as of March 13, 2008 (the “Executive Employment Agreement”) pursuant to which accruals under Mr. McNerney’s Supplemental Pension (as described in Section 6(b) of the Executive Employment Agreement) shall cease as of December 31, 2015. In March 2014, the Company made comparable changes to retirement benefits for other executives and non-executive salaried employees, also effective December 31, 2015.
