ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On January 1, 2009, Ms. Jing Chen resigned as Chief Financial Officer of China Valves Technology, Inc. (the “Company”) effective on February 1, 2009. Ms. Chen’s resignation is not in connection with any known disagreement with the Company on any matter. In connection with the resignation of Ms. Chen, the board of the Company appointed Mr. Renrui Tang as the interim Chief Financial Officer until a Chief Financial Officer is appointed.

Between 1994 and 2004, Mr. Tang worked for the Company’s subsidiary Zhengzhou Zhengdie Valve Co. Ltd. as the manger for financial department. He had been in charge of the firm’s financing activities and various issues in accounting fields.  From 2004 to April 2008, Mr. Tang was the financial director of the Company’s subsidiary Kaifeng High Pressure Valve Co. Ltd.  His major duties included managing accounting and financing activities, supervising financial analysis, capital allocation, internal control and auditing.

No family relationship exists between Mr. Renrui Tang and any directors or executive officers of the Company.  In addition, there has been no transaction, nor is there any currently proposed transaction between Mr. Renrui Tang and the Company that would require disclosure under Item 404(a) of Regulation S-K.
