Item 8.01 Other Events.

On July 2, 2007, Fremont General Corporation (the "Company"), doing business primarily through its wholly-owned industrial bank, Fremont Investment & Loan (the "Bank"), issued a press release announcing the completion of the sale of the Company’s commercial real estate lending business and outstanding commercial real estate loan portfolio to iStar Financial Inc. and the appointment of Alan W. Faigin as interim President and Chief Executive Officer of the Bank. The press release is attached as Exhibit 99.1 hereto and is incorporated by reference herein.
