(1) In connection with the acquisition of RTM Restaurant Group, Inc. (RTM) and certain affiliated entites (the RTM Acquisition) by Triarc Companies, Inc. (Triarc), the reporting person received as consideration 3,614,177 shares of Triarc's Class B Common Stock, Series 1. Of the 3,614,177 shares issued to the reporting person in the acquisition, 449,095 shares are being held in escrow to secure the reporting person's indemnification obligations under the definitive agreements related to the RTM Acquisition.
