Item 7.01 Regulation FD Disclosure.
On February 5, 2008, Standard and Poor’s Ratings Services (“S&P”) issued a press release downgrading the long-term counterparty credit rating of Fremont General Corporation (the “Company”) to “CCC+” from “B-”. S&P also changed the Company’s rating to CreditWatch Negative from CreditWatch Developing. For additional information about S&P’s change in the Company’s ratings, see the copy of the S&P press release, which is attached to this Form 8-K as Exhibit 99.1 and is incorporated by reference herein.
